These Terms govern use of the Simplton website and, unless a separate order, proposal, statement of work, or written agreement says otherwise, the Simplton tools and services you purchase or access.
Effective date: September 20, 2026
1. Who We Are
Simplton is the public-facing brand for visibility, AI visibility, AI lead systems, and related managed services. Simplton is built and operated by ASEB Consulting. APJ Holdings LLC, doing business as ASEB Consulting, is the legal and contracting entity.
2. Acceptance of These Terms
By using the Simplton website, creating or using an account, purchasing a subscription, authorizing work, or using a Simplton tool or service, you agree to these Terms. If you use Simplton for a company or other organization, you represent that you have authority to bind that organization.
If a signed proposal, order form, statement of work, or other written agreement conflicts with these Terms, that written agreement controls for the specific service it covers.
3. Business Use
Simplton is intended primarily for businesses and professionals. You are responsible for determining whether a tool, report, workflow, recommendation, integration, campaign, or communication is appropriate and lawful for your business, industry, location, and customers.
4. Tool Access and Limited Use Rights
Simplton is not sold to you as a copy of standalone software. Subject to payment and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right during your active paid term to access and use the Simplton tools made available to you for your internal business purposes.
This access right does not transfer ownership of Simplton software, source code, models, interfaces, reports, methodologies, templates, data sets, documentation, branding, or other intellectual property. Unless we expressly agree in writing, you may not resell, sublicense, white-label, reverse engineer, circumvent access controls, scrape or bulk-extract protected data for redistribution, or use Simplton materials to build a competing product.
You retain ownership of your business information, content, and data that you provide to us. You grant us and our service providers the limited rights needed to host, process, transmit, analyze, transform, and display that information to provide, secure, support, and improve the services you request.
5. Accounts and Authorized Users
If account access is provided, you are responsible for your authorized users, credentials, and activity under your account. Keep passwords and access links secure, promptly remove users who should no longer have access, and notify us if you believe an account has been compromised.
6. Acceptable Use
You may not use Simplton to:
- break the law or encourage unlawful activity;
- send communications without required consent or in violation of applicable marketing, telemarketing, privacy, or messaging rules;
- harass, threaten, defraud, impersonate, or mislead others;
- upload malicious code or attempt to bypass security or access controls;
- access data you are not authorized to access;
- infringe intellectual property, privacy, publicity, or other rights;
- interfere with the operation of Simplton or third-party platforms; or
- use outputs, data, or access in a way prohibited by an applicable third-party provider.
We may suspend access when reasonably necessary to protect the service, comply with law, investigate abuse, or prevent material harm.
7. AI, Search, and Visibility Limitations
AI systems, search engines, Maps results, rankings, citations, mentions, model outputs, ad platforms, and third-party data change over time. Simplton reports observed signals and provides tools and recommendations based on the data available to the service at the time.
AI-generated responses and recommendations may be incomplete, outdated, or wrong. Local rankings can vary by location, device, timing, personalization, competition, and other factors. AI visibility can vary by prompt, model, source set, and model behavior. You should review important decisions rather than treating any automated output as guaranteed fact.
Simplton does not guarantee rankings, traffic, leads, appointments, sales, revenue, AI recommendations, citations, or other outcomes outside our control.
8. Third-Party Platforms and Services
Some Simplton features depend on third-party platforms, data providers, AI providers, communications providers, hosting providers, advertising platforms, or integrations. Examples may include HighLevel/LeadConnector and platforms you authorize us to connect to or manage.
Third-party services may have their own terms, limits, fees, outages, policy changes, or account requirements. We are not responsible for a third party changing, limiting, suspending, or discontinuing its product, API, data, account, or functionality. We may modify an integration or workflow when a third-party change makes that reasonably necessary.
9. Managed and Implementation Services
Managed services, implementation, custom automations, advertising, content, consulting, setup work, and other human-delivered services may be described in a proposal, order, or statement of work. That document should define the specific scope, client responsibilities, deliverables, assumptions, fees, and exclusions.
Unless expressly included, third-party fees, ad spend, telephony usage, AI model usage, custom development, data purchases, and work outside the agreed scope may be billed separately or require a separate approval.
10. Fees, Billing, and Month-to-Month Service
Public pricing currently shown on our Pricing page is monthly unless a specific written order says otherwise. Simplton does not require a long-term contract for the standard monthly offerings unless you separately agree in writing to a different term.
Setup fees, usage-based charges, ad spend, third-party charges, taxes, and custom work may be separate from the monthly fee where disclosed in the applicable pricing, order, or proposal.
You may request cancellation of future monthly renewals. The effective cancellation date, refund eligibility, and treatment of work already performed or third-party costs will follow the applicable order, checkout, proposal, or written cancellation policy in effect for your service. If your order does not specify a process, contact us before the next renewal to request cancellation.
11. Customer Responsibilities
You are responsible for information, instructions, approvals, access, accounts, credentials, content, offers, claims, customer lists, and permissions you provide. You represent that you have the rights and lawful authority needed for the data, content, audiences, and systems you ask us to use.
If a service involves calls, text messages, email, AI-assisted responses, advertising, customer data, recordings, reviews, or other regulated activity, you are responsible for business-specific legal requirements and for obtaining any notices, permissions, consents, or approvals required for your use case, unless a written agreement expressly assigns a specific responsibility to us.
12. Intellectual Property
Simplton, ASEB Consulting, and their licensors retain all rights in the Simplton brand, website, software, designs, methods, documentation, templates, reports, interfaces, code, and other proprietary materials, except for customer-owned content and data.
Unless a written project agreement says otherwise, a customer receives the right to use final work product delivered specifically for that customer for its intended business purpose. Pre-existing tools, reusable code, methods, templates, know-how, and platform components remain ours or our licensors’ property.
13. Confidential Information
In the course of a customer relationship, each party may receive non-public business information from the other. Each party should use reasonable care to protect confidential information and use it only for the relationship, except where disclosure is authorized or required by law. This section does not cover information that is public through no breach, independently developed, or lawfully received without a confidentiality duty.
14. Privacy
Our handling of personal information is described in the Privacy Policy. A customer engagement may also involve additional privacy, security, or data-processing terms when appropriate to the service.
15. Disclaimers
To the maximum extent permitted by law, the website, tools, reports, and services are provided on an “as available” basis. Except for commitments expressly stated in a written agreement, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Nothing in these Terms excludes a warranty, right, or remedy that applicable law does not allow to be excluded.
16. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost business opportunity, or loss of goodwill arising from these Terms or the services, even if the possibility was known.
To the maximum extent permitted by law, our aggregate liability arising from the specific Simplton service giving rise to a claim will not exceed the fees paid to us for that specific service during the six months before the event giving rise to the claim. This limitation does not apply where applicable law prohibits it.
17. Responsibility for Unlawful or Unauthorized Use
You agree to defend and indemnify APJ Holdings LLC, ASEB Consulting, and Simplton from third-party claims, losses, and reasonable costs arising from your unlawful use of the services, your content or data, your violation of another person’s rights, or instructions you provide that cause us to act unlawfully, except to the extent the claim results from our own breach, gross negligence, or willful misconduct.
18. Suspension and Termination
Either party may end a month-to-month service for future periods subject to the applicable order or cancellation process. We may suspend or terminate access for nonpayment, material breach, unlawful use, security risk, abuse, or conduct that materially threatens the service or another party.
Termination does not erase payment obligations already incurred. Sections that by their nature should survive, including ownership, confidentiality, disclaimers, limitations of liability, and payment obligations, will survive termination.
19. Changes to Services or Terms
We may update these Terms or modify features as our tools, vendors, laws, and business change. We will update the effective date when revised Terms are published. Material changes that affect an active paid relationship may also be communicated through the account, email, order process, or other reasonable notice.
20. Governing Agreement and Applicable Law
If an applicable order, proposal, statement of work, or signed agreement states a governing law, venue, or dispute process, that provision controls for that engagement. If no separate written agreement states those terms, applicable law determines the governing law and forum.
21. Contact
Questions about these Terms can be sent through the Simplton Contact page.
